These Terms & Conditions govern services provided by Katrin Roth, The German Edit, Basel, Switzerland (“The German Edit”, “we”, “us” or “our”). They apply unless different terms are agreed in writing for a particular engagement.
Scope
The German Edit provides personalised German-language coaching and related services to individuals and organisations. The precise content, format, duration, location, schedule and fees are set out in the relevant offer, booking confirmation or other written agreement. If that agreement conflicts with these Terms & Conditions, the individual agreement prevails.
Conclusion of the agreement
Information on the website is an invitation to enquire and does not constitute a binding offer. An agreement is concluded when The German Edit confirms a booking or proposal in writing, including by email, or begins providing the agreed service at the client’s request.
Client responsibilities
Clients must provide accurate information needed to organise and deliver the services, attend agreed sessions on time and cooperate in a reasonable manner. Coaching outcomes depend on the client’s participation and individual circumstances; no particular learning result is guaranteed.
Fees and payment
Fees, any applicable expenses, invoicing intervals, payment deadlines and accepted payment methods are specified in the individual offer or booking confirmation. Unless stated otherwise, amounts are in Swiss francs. Invoices must be paid by the stated due date without deduction. The German Edit may suspend further services while an overdue amount remains unpaid.
Scheduling, cancellations and changes
Sessions are arranged by mutual agreement. Any applicable cancellation or rescheduling period and the consequences of late cancellation or non-attendance are specified in the individual offer or booking confirmation. If no special rule has been agreed, the parties will seek a reasonable solution taking the circumstances and costs already incurred into account.
If The German Edit must cancel or reschedule a session, the client will be informed as soon as reasonably possible. The affected session will be rescheduled or any fee already paid for that session will be credited or refunded. Further claims remain excluded to the extent permitted by law.
Online services
For online sessions, the client is responsible for a suitable device, a stable internet connection and a quiet environment. The German Edit is not responsible for disruptions caused by the client’s equipment, connection or third-party communication services.
Confidentiality
The German Edit treats non-public information shared during coaching as confidential and uses it only to provide the agreed services, unless disclosure is required by law, necessary to protect overriding interests or authorised by the client. Clients must likewise respect confidential materials and information made available by The German Edit or other participants.
Intellectual property
All rights in teaching materials, exercises, documents and other content supplied by The German Edit remain with Katrin Roth or the respective rights holder. Clients receive a personal, non-transferable right to use the materials for the agreed purpose. Reproduction, publication, resale, distribution or use for commercial training requires prior written permission.
Data protection
Personal data are processed in accordance with our Privacy Policy. Clients who provide personal data relating to other people confirm that they are authorised to do so and have provided any legally required information.
Liability
The German Edit provides services with reasonable professional care. To the extent permitted by law, liability for indirect or consequential loss, loss of profit, loss of data and losses caused by third-party services is excluded. Liability for intent, gross negligence, death or personal injury and any other liability that cannot legally be excluded remains unaffected.
Force majeure
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control. The affected party must inform the other party as soon as reasonably possible. Obligations are suspended for the duration of the impediment; if it continues for an unreasonable period, either party may terminate the affected services.
Termination
Ongoing engagements may be terminated in accordance with the individual agreement. The right to terminate immediately for good cause remains reserved. Services already provided and non-cancellable costs incurred up to termination remain payable.
Severability
If a provision of these Terms & Conditions is invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced by a valid provision that comes as close as legally possible to its intended purpose.
Changes
The German Edit may update these Terms & Conditions for future engagements. The version accepted when an agreement is concluded applies to that agreement unless the parties agree otherwise.
Applicable law and jurisdiction
These Terms & Conditions and the contractual relationship are governed by substantive Swiss law, excluding conflict-of-law rules. Subject to mandatory statutory places of jurisdiction, the courts of the Canton of Basel-Stadt, Switzerland, have exclusive jurisdiction.
